In these Terms: "Services" refers to proposal structuring, bid writing, compliance checklist audits, and editorial advisory provided by Flemborin. "Client" or "You" refers to the individual or business entity retaining our services. "Deliverables" represents drafted narratives, templates, and documentation submitted to Client.
2. Authorized Use of Website
By browsing flemborin.pro or contacting us through digital forms, you represent that you act in an authorized commercial capacity and will not introduce malicious code, scrap content, or misrepresent corporate identity.
3. Service Descriptions & Scope Limits
Flemborin assists clients by formatting project data and requirements into structured tender submissions. We do not provide engineering certification, legal counsel, or financial underwriting. All engineering designs, cost calculations, and warranties remain the exclusive responsibility of the Client.
4. Engagements & Statements of Work
Initial inquiries submitted through our web portal do not constitute a binding contract of engagement. A formal engagement commences only upon the execution of a bespoke Statement of Work (SOW) outlining project scope, turnaround milestones, and fee structures.
5. Fees & Invoicing Terms
All prices referenced on flemborin.pro are quoted in Canadian Dollars (CAD) unless expressly agreed otherwise in writing. Retainers and authoring fees must be settled according to invoice schedules prior to final release of unwatermarked submission documents.
6. Client Responsibilities & Accurate Inputs
Client agrees to furnish accurate, complete, and timely technical inputs, qualification certificates, and pricing matrices required to meet procurement deadlines. Flemborin is not liable for submission delays or disqualifications arising from tardy or inaccurate client-supplied materials.
7. Intellectual Property Rights
Upon full remuneration of agreed project fees, all bespoke narrative deliverables authored specifically for Client's proposal transfer to Client ownership. Flemborin retains proprietary rights over internal methodologies, templates, boilerplates, and knowledge frameworks used in generating deliverables.
8. Mutual Confidentiality & NDAs
Both parties agree to protect and treat as strictly confidential all proprietary drawings, financial numbers, business formulas, and operational secrets disclosed during the course of proposal authoring.
9. Disclaimer of Tender Outcomes ("As Is")
While Flemborin employs rigorous compliance methodologies, we make no representation, warranty, or guarantee that any proposal or bid prepared by our team will win, receive shortlist selection, or be awarded a contract by evaluators. Procurement decisions belong entirely to the tendering organization.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Flemborin shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of anticipated revenue or lost contracting opportunities. Our total cumulative liability under any engagement shall not exceed the fees paid by Client to Flemborin for the specific service in dispute.
11. Governing Law & Jurisdiction
These Terms and all service contracts are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties irrevocably attorn to the exclusive jurisdiction of the courts sitting in Toronto, Ontario.
